End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("Subscriber") and TheCFObox LLC, a South Carolina limited liability company ("TheCFObox"), governing your use of the software products provided by TheCFObox (the "Software"). By purchasing a subscription or using the Software, you agree to be bound by the terms of this Agreement.

Scope. This Agreement governs the Software only. Consulting, advisory, remediation and accounting services — including any engagement in which TheCFObox personnel are granted access to Subscriber's accounting systems — are governed exclusively by a separate Master Services Agreement and its statements of work. Nothing in this Agreement creates, limits, or describes any obligation relating to those services, and nothing in that agreement modifies this one.

1. Subscription License

TheCFObox grants Subscriber a non-exclusive, non-transferable license to install and use the Software on a single hosted server instance for Subscriber's internal business purposes. This license is conditioned upon maintenance of an active paid subscription and compliance with all terms of this Agreement.

The license is per QuickBooks Online company connection. Each QBO company requires a separate subscription.

2. Subscription Terms and Billing

The Software is licensed on a monthly subscription basis, billed in advance. The first period may be prorated to align the billing cycle. Subscriber may cancel at any time.

Pricing is provided in writing at the time of engagement and is a function of the plan selected and the scope of any accompanying services. TheCFObox reserves the right to change pricing with thirty (30) days written notice to active Subscribers.

3. License Validation

The Software validates its subscription status by transmitting a license key, the instance hostname, the application version and the originating IP address to a validation service operated by TheCFObox. This transmission contains no financial data. Validation occurs periodically while the Software is running.

If the validation service is unreachable, the Software continues to operate using its last known status. A subscription that has lapsed or been terminated will cease to operate following the end of the applicable access period described in Section 4.

4. Cancellation and Access

Subscriber may cancel at any time. Upon cancellation:

Where a payment fails rather than a subscription being cancelled, TheCFObox may extend a grace period during which the Software continues to operate. Grace is a courtesy and is not a contractual entitlement.

5. Data Ownership and Privacy

Subscriber retains full ownership of all financial data processed, stored, or generated by the Software. The Software runs on infrastructure owned or controlled by Subscriber, or provisioned on Subscriber's behalf. TheCFObox has no access to, no copy of, and no interest in Subscriber's financial data. This is a property of the self-hosted architecture, not merely a policy statement.

TheCFObox does not collect, store, sell, license, or otherwise monetize Subscriber's financial or business data under any circumstances. Operational telemetry described in Section 6 is limited to counts and contains no financial information.

6. Operational Telemetry

The Software reports aggregate usage counts to TheCFObox — for example the number of sessions, scenarios run, or forecast updates in a given day. This information is used to support the Subscriber, to identify instances that have stopped functioning, and to improve the Software.

Telemetry consists of counts only. It does not include account names, balances, transactions, customer or vendor information, or any value derived from Subscriber's books. Where a channel partner referred the Subscriber, adoption-level summaries may be shared with that partner in support of the engagement.

7. Ownership and Intellectual Property

The Software is licensed, not sold. TheCFObox retains all right, title, and interest in and to the Software, including all intellectual property rights. Subscriber receives no ownership interest in the Software by virtue of this Agreement.

8. Automatic Updates

TheCFObox provides automatic software updates to active Subscribers at no additional charge. Updates are delivered through an automated mechanism. Continued functionality and security of the Software may depend on applying updates when available. Subscribers who cancel their subscription will no longer receive updates.

9. Onboarding Services

A chart of accounts review is required prior to provisioning, to confirm the Software will operate correctly against Subscriber's QuickBooks configuration. That review, and every other consulting, remediation or advisory service — including accrual conversion, balance sheet reconciliation and any engagement involving direct access to Subscriber's accounting systems — is provided under a separate Master Services Agreement and is outside the scope of this Agreement.

10. Third-Party Services

The Software requires an active QuickBooks Online subscription and connects to Intuit's services on Subscriber's behalf. TheCFObox is not responsible for the availability, accuracy or conduct of third-party services, including Intuit, or for changes those services make to their interfaces or terms.

11. Restrictions

Subscriber shall not:

Authorized channel partners and resellers operate under separate agreements and are not subject to the sublicense restriction above.

12. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THECFOBOX DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

THE SOFTWARE PRODUCES FORECASTS AND ANALYSES BASED ON DATA AND ASSUMPTIONS SUPPLIED BY OR ON BEHALF OF SUBSCRIBER. IT IS A TOOL TO SUPPORT JUDGMENT, NOT A SUBSTITUTE FOR IT. THECFOBOX DOES NOT PROVIDE AUDIT, ATTEST, TAX OR INVESTMENT ADVICE, AND OUTPUT OF THE SOFTWARE DOES NOT CONSTITUTE ANY SUCH ADVICE. SUBSCRIBER IS RESPONSIBLE FOR REVIEWING ALL ASSUMPTIONS AND FOR ANY DECISION MADE IN RELIANCE ON THE SOFTWARE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THECFOBOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE. THECFOBOX'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY SUBSCRIBER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. Term and Termination

This Agreement remains in effect for as long as Subscriber maintains an active subscription. TheCFObox may terminate this Agreement immediately if Subscriber materially breaches any term hereof. Upon termination, Subscriber shall cease all use of the Software. Subscriber's data remains on Subscriber's server and is unaffected by termination.

15. Governing Law

This Agreement shall be governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Greenville County, South Carolina.

16. Changes to This Agreement

TheCFObox may update this Agreement from time to time. Subscribers will be notified of material changes by email. Continued use of the Software after the effective date of changes constitutes acceptance of the updated Agreement.
